MEMORANDUM OF UNDERSTANDING
(MoU) – The Treaty
Between Theron Energy LLC (OEM), Theron Magnetic Generators (TMG), and Florida USA Dealer Name/Theron Generators LLC.
1. Purpose of Agreement
This MoU establishes the cooperative framework for the supply and installation of proprietary Theron Permanent Magnetic Power Systems, specifically PMG Home Generators®, PMG Commercial Generators®, PMG Mobile Generators®, PMG Industrial Generators®, TRON GENSETS®, ATMAG GENSETS®, DESAL GENSETS®, and T-D-D GENSETS®, and T-S-W-S CONTAINERS® or any other products invented or engineered by THERON going forward, for use in commercial, industrial, and infrastructure projects under contract with Layton Construction.
2. Definitions and Scope
The Technology: Proprietary permanent magnetic energy units operating in a closed-loop, emission-free environment, protected by USPTO, Department of Defense/War, and DOE-recognized intellectual property.
The Deployment (Islanded-Only): All units supplied under this MoU are strictly intended for Behind-the-Meter (BTM) and “Islanded” operation. Installations must NOT connect to public utility grid infrastructure.
The Regulatory Umbrella: All deployments shall adhere to the Consumer Regulated Electric Utility (CREU) designation, authorizing the end-user (or the building owner) to operate as a private utility for their designated site perimeters.
3. Obligations of the Parties
Theron Energy (OEM) & TMG: Shall provide certified hardware, engineering schematics, and ongoing technical support for the integration of TRON and ATMAG GenSets. OEM shall uphold the 50-Year Industrial Warranty covering internal magnetic components and performance integrity as long as that warranty remains active and in compliance.
Florida USA Dealer: Shall act as the primary authorized interface for Layton Construction, managing the procurement, localized logistics, and mandatory site certifications for islanded operation.
Compliance Protocol: The Dealer must ensure that Layton Construction project managers acknowledge the Non-Disclosure/Non-Circumvention (MNDA), as signed by Chandler Harrison or other appointed Layton Construction executive, regarding proprietary magnetic configuration and generation capacity.
4. Regulatory Compliance & Governing Law
Sovereign Perimeter: The parties acknowledge that these gensets are classified as industrial assets. Their operation is subject to the 2026 DATA Act regarding localized energy autonomy.
Jurisdictional Usage: These systems are permitted for use ONLY WITHIN THE UNITED STATES OF AMERICA and its territories, as per international patent control and security directives.
5. Term and Termination
This agreement shall remain in effect for the duration of the current project lifecycle with Layton Construction and may be renewed upon mutual written agreement of all parties. Any breach of the “Islanded” status or unauthorized grid-tie attempts shall result in the immediate revocation of OEM support and warranty protections.

To ensure legal compliance and verify that this is not only Intellectual Property (IP) but also considered an American asset, and that you will comply with all our foundation and departments and assigned corporate, as well as US Government national security directives, you are rquired as officer of Layton Construction to execute this Memorandum of Understanding below. Together with your signed MNDA, all standards are met.
